Welcome to HookPic ("Company," "we," "us," or "our"). By signing up for or using our AI-powered advertising application, web services, or any related services (collectively, the "Service"), you ("User," "you") agree to be bound by these Terms and Conditions (the "Terms").

These Terms govern your access and use of the Service. If you do not agree with any part of these Terms, you may not access the Service.

2. Eligibility

  1. Age Requirement: You must be at least 18 years old to use the Service.
  2. Authority to Bind: If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

3. Description of the Service

  1. The Service integrates with third-party platforms (e.g., Meta's advertising platform) to create, manage, and optimize your advertising campaigns.
  2. Our AI technology may generate custom product imagery and/or copy for use in ads, based on data and images you provide.
  3. Performance and results may vary; we do not guarantee specific conversion rates, ROAS, or other performance metrics.

4. User Responsibilities

  1. Accurate Information: You must provide and maintain accurate account information.
  2. Compliance: You agree to comply with all applicable laws, regulations, and advertising platform policies (e.g., Meta's Advertising Policies) when using our Service.
  3. Content Ownership & Rights: You must ensure you have the legal right to upload or provide any product images, brand assets, or other content. You grant us a worldwide, non-exclusive license to process this content strictly for the purpose of providing the Service.

5. Subscription, Fees, and Payment

  1. Subscription Plans: The Service may be offered under different subscription levels, each with specific features and usage limits.
  2. Fees: You agree to pay all applicable fees in accordance with your chosen subscription plan. Prices are subject to change; we will notify you in advance of any pricing changes.
  3. Billing & Payment: Subscription fees may be charged in advance, monthly, or annually, depending on the plan. You authorize us or our third-party payment processors to charge your payment method for the subscribed amount.

6. Intellectual Property

  1. Our IP: We retain all right, title, and interest in and to the Service, including any AI models, software, algorithms, or trademarks.
  2. Your IP: You retain ownership of any images, data, or content you upload, subject to the license described in Section 4.3.
  3. Generated Content: Depending on your subscription level, you may have rights to use or reproduce AI-generated content for advertising or promotional purposes. We do not claim ownership of your final ads; however, we may retain copies of generated outputs for diagnostic or internal improvements.

7. Confidentiality

  1. Both parties agree to protect any confidential information exchanged in the course of using or providing the Service.
  2. We implement industry-standard security measures but cannot guarantee absolute security. See our Privacy Policy for more details on data handling.

8. Termination

  1. Termination by You: You may cancel your subscription at any time. If you cancel mid-term, no pro-rated refunds will be issued unless otherwise stated in your plan.
  2. Termination by Us: We may suspend or terminate your account if you violate these Terms or engage in unlawful use of the Service.
  3. Effect of Termination: Upon termination, your right to access the Service ceases immediately. Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification survive termination.

9. Disclaimers

  1. No Warranty: The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. Performance: We do not warrant that the AI-generated content will meet your specific requirements or that advertising performance will meet your expectations.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for indirect, incidental, consequential, special, or exemplary damages, including loss of profits, goodwill, or data. Our aggregate liability shall not exceed the total fees paid by you to us in the six (6) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold us harmless from and against any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your breach of these Terms;
  2. Your violation of any applicable laws or regulations;
  3. Your infringement of any third-party rights in connection with your use of the Service.

12. Governing Law & Dispute Resolution
